Terms of Service

1. Agreement

These terms are between you (the customer) and Proem Engineering, a software engineering company founded in 2026, trading as Proqal Softwares ("we", "us"). By creating a workspace or using the service you accept them. If you accept on behalf of a company, you confirm you are authorised to do so.

2. The service

PROQAL provides accounting (PROQAL Finance), point-of-sale (PROQAL POS) and loan management (PROQAL Loans) software, delivered over the web and as desktop applications. Which features you can use depends on your subscription tier as shown on our pricing page.

3. Accounts

You are responsible for the accuracy of your registration details, for keeping credentials confidential, and for everything done under your workspace's accounts. Tell us promptly if you suspect unauthorised access. Each user must have their own login; credentials must not be shared.

The business records you enter remain yours. We claim no ownership. We process them only to provide the service, as described in the Privacy Policy. You can export your data at any time while your subscription is active, and you are responsible for keeping your own copies of records you are legally required to retain.

6. Acceptable use

You must not use the service to break the law; upload malware; attempt to gain unauthorised access to the service, other workspaces or our infrastructure; probe or load-test the service without written permission; resell or white-label it without a written agreement; or reverse-engineer it except where that right cannot lawfully be excluded.

7. Availability and support

We aim to keep the service available continuously but do not guarantee uninterrupted operation. Maintenance may require planned downtime, which we will announce where practicable. Support channels and response targets depend on your tier. Priority support and any service-level commitment apply only where your plan or order states them; where no service level is stated, we support the service on a reasonable-endeavours basis.

8. Not professional advice

PROQAL is a tool for recording and reporting on your finances. It does not provide accounting, tax, legal or financial advice. Reports, tax calculations and automated insights are provided for your convenience; you remain responsible for the accuracy of your records and for meeting your filing obligations, and you should have them reviewed by a qualified professional.

9. Liability

To the fullest extent permitted by law, our total liability arising out of or relating to the service is limited to the fees you paid in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profits, revenue or data, except where such exclusion is not permitted by law. Nothing limits liability for death or personal injury caused by negligence, or for fraud.

10. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access for a material breach of these terms, for non-payment, or where required by law — with notice where circumstances allow. On termination your right to use the service ends; data handling follows the Privacy Policy.

11. Changes

We may update these terms. Material changes will be notified to workspace administrators by email at least 30 days before taking effect. If a change is one you are not willing to accept, you may cancel before it takes effect and we will refund the unused part of your current period. Continued use after that date means acceptance.

12. Applicable law

We serve customers in more than one country and build the service to meet the obligations that apply in each — including data-protection law, consumer-protection rules on subscriptions and refunds, and the tax rules relevant to the records the software produces. Your own local consumer rights are not displaced by these terms; where a term here conflicts with a right you hold under the law that applies to you, that law wins.

Where a dispute cannot be resolved directly, it is governed by the law of the country in which Proem Engineering is established, and we will tell you what that means for your situation on request. We would much rather settle a problem by email first — most are a misunderstanding about billing or a feature, and those are quicker to fix than to argue.
